Hindustan Zinc has informed the stock exchanges about three changes to its Board of Directors effective August 2025. Mr. Anoop Kumar Mittal, former Chairman & Managing Director of NBCC (India) Limited with over 40 years of experience in construction and infrastructure, has been appointed as a Non-Executive Independent Director for a 2-year first term and will chair the Sustainability & ESG Committee. Ms. Pallavi Joshi Bakhru, a Chartered Accountant and Partner at Grant Thornton Bharat with 30+ years of tax and advisory experience, has been re-appointed for a second 2-year term as Non-Executive Independent Director and will chair the Nomination and Remuneration Committee. Mr. Akhilesh Joshi's second and final term as Non-Executive Independent Director will end on July 31, 2025, and he will cease to be a director from that date. All changes are subject to shareholder approval at the upcoming Annual General Meeting.
This is a routine board refresh with one new independent director joining and another getting a second term, while one director retires after completing his tenure. The appointments bring additional expertise in infrastructure/ESG and tax/advisory to the board, which is neutral to mildly positive for governance. Shareholders should expect to vote on these appointments at the upcoming AGM.
