HMA Agro Industries informed the exchanges that its subsidiary, HMA Natural Foods Private Limited, has allotted 30,37,000 equity shares of face value ₹10 each at par, totalling about ₹3.04 crore, by converting an outstanding loan into equity. This is not a fresh capital infusion — the loan had already been extended earlier. As a result, HMA Agro's stake in the subsidiary rises from 90.36% to 95.66%. The subsidiary, which operates in the agro-based sector, reported nil turnover in the last three financial years (FY21-22 to FY23-24). The transaction was completed on May 15, 2025, and shares were credited to HMA Agro's demat account, confirmed by CDSL.
This is a routine internal restructuring at the subsidiary level and does not bring in new money or dilute existing shareholders. HMA Agro simply gains a slightly higher ownership in a non-revenue generating subsidiary by converting an existing receivable into equity, so the impact on the parent company's shareholders is minimal.
