HUDCO's 55th AGM was held on 15th September 2025 via video conferencing, where all 10 resolutions (out of 11 tabled) were passed with strong shareholder approval, ranging from 96.81% to 99.99%. Item No. 5 was withdrawn before the meeting. Shareholders approved the FY25 financial statements (99.60% in favour), confirmed the final dividend of Rs. 1.05 per share (10.50%), alongside two interim dividends of Rs. 2.05 and Rs. 1.05 already paid during the year. Three new non-official Independent Directors — Kantilal Chaturbhai Patel, Sabitha Bojan, and Ravindra Kumar Ray — were appointed with over 96% support. Two significant capital-related resolutions also passed: an increase in overall borrowing limit from Rs. 1,50,000 crore to Rs. 2,50,000 crore (99.97% in favour) and authorisation to raise up to Rs. 65,000 crore through Non-Convertible Bonds/Debentures on private placement basis (99.97% in favour). The Government of India (promoter) holds about 75% of the 2,001.9 crore total shares outstanding.
All key resolutions passed comfortably, confirming strong shareholder confidence. The massive borrowing limit hike (66% increase) and Rs. 65,000 crore NCD fundraising approval signal aggressive lending growth plans ahead, which supports business expansion but also raises future leverage. Total FY25 dividend works out to roughly Rs. 4.15 per share (~41.50%), a solid payout for shareholders.
