Hubtown Limited's board, on June 30, 2025, approved a Scheme of Arrangement to merge 25 West Realty Private Limited (25WRPL), an unlisted promoter group company, into itself under Sections 230-232 of the Companies Act, 2013, with an appointed date of April 1, 2025. 25WRPL is developing a super-luxury residential project called '25 West' in Bandra West, Mumbai, offering sea-link and Arabian Sea views. As consideration, Hubtown will issue 42 equity shares for every 1 equity share held in 25WRPL. The transaction is a related-party deal, approved by the Audit Committee and valued by a registered valuer, and is subject to NCLT, stock exchange, and shareholder approvals. Post-scheme, promoter group holding in Hubtown will rise from 35.02% to 49.85% (and to 51.55% if another pending HL-SCPL merger is also considered), while public shareholding drops to around 48-50%.
