Hubtown Limited's Board has approved a Scheme of Arrangement involving two amalgamations. In Step 1, Distinctive Realty Private Limited (DRPL) will merge into Amazia Developers Private Limited (ADPL). In Step 2, ADPL and Nitant Real Estate Private Limited (NREPL) will merge into Hubtown Limited, effective from July 1, 2025. These group companies hold stakes in two premium Mumbai projects — '25 South' at Prabhadevi and '25 Downtown' at Mahalaxmi — through Twenty Five South Realty Ltd and Twenty Five Downtown Realty Ltd. The Hubtown Group expects pre-sales of approximately Rs. 6,000 crore in FY26 post-merger. As consideration, Hubtown will issue 6,203 of its shares for every 1 share of ADPL, and 16 shares for every 1 share of NREPL, at an indicative value of around Rs. 900 per share. Promoter shareholding will rise sharply from 35% to 63.4% post-merger, while public shareholders will be diluted from 65% to 36.6%. The scheme requires approvals from NSE, BSE, NCLT, shareholders, and creditors.
This is a significant restructuring that consolidates promoter-owned real estate assets into the listed entity. Existing public shareholders will face meaningful dilution (from ~65% to ~36.6%) but gain exposure to high-end Mumbai projects with a Rs. 6,000 crore pre-sales target.
