Members of the Hubtown promoter group, including Falguni V. Shah, Hemant M. Shah, Vyomesh M. Shah, their HUFs, family members and promoter-group entities, converted 15,81,747 warrants into equity shares on September 19, 2025, on a preferential basis. As a result, the aggregate promoter group holding rose from 32.09% to 33.34% of total share/voting capital (and from 30.63% to 32.41% on a fully diluted basis). Falguni V. Shah's individual stake increased from 1.68% to 2.79%, while the rest of the group's holdings remained broadly steady. The company has issued 1.25 crore warrants in total to the promoter group, of which 87,86,317 have now been converted and 37,13,683 warrants remain pending conversion.
This is a pre-committed promoter warrant conversion rather than a fresh open-market purchase, so it should be largely price-neutral. It does, however, lift the promoter group's voting stake by about 1.15%, marginally reinforcing their control. The encumbered (pledged) promoter shares stayed flat at 11,675,000 shares (~8.45% of capital), so no new pledge or release was triggered.
