IDream Film Infrastructure Company has adjourned its EGM originally held on 19 January 2026 due to lack of quorum; the reconvened meeting will be held on 27 January 2026. The agenda includes a massive hike in authorised share capital from Rs 6.5 crore to Rs 275 crore (65 lakh shares to 27.5 crore shares of Rs 10 each). The biggest item is the acquisition of 100% of E-Tunnel Inc. (a Korean entity with 500 KRW face value shares) for Rs 266.40 crore, to be paid entirely through a share swap at a ratio of 1:121, making E-Tunnel a wholly-owned subsidiary. Existing shareholders face very heavy dilution and a change of control: their stake will shrink dramatically once the 26.64 crore swap shares and 40 lakh preferential shares are allotted, and a new promoter group will take over after a mandatory open offer. The company's effective business will pivot toward the Korean-target's operations through the E-Tunnel acquisition.
