IEL Limited announced multiple outcomes from its board meeting on 7th August 2025. The company reported weak Q1 FY26 (quarter ended 30 June 2025) results with total income of just ₹5.02 lakhs against expenses of ₹74.44 lakhs, leading to a net loss of ₹73.75 lakhs (basic EPS of ₹-0.057). Two non-executive independent directors — Ms. Avani Ashwinkumar Shah and Ms. Juhi Sawajani — resigned citing other professional commitments. In their place, three new independent directors were appointed for a 5-year term: Ms. Aastha Jain (Company Secretary), Ms. Ami Priyank Bhanshali (Chartered Accountant), and Ms. Mokshi Prakashbhai Shah (semi-qualified CS). The board also appointed M/s Kunal Sharma & Associates as the new Secretarial Auditor for FY 2025-26 to FY 2029-30 and reconstituted all three board committees with the new directors.
The company is loss-making with expenses far exceeding income, which is a concern for shareholders. However, the board changes are routine governance restructuring — two independent directors stepped down and were immediately replaced by three new ones, so there is no disruption to board composition or committee functioning. The stock is unlikely to see material impact from these changes alone.
