IFCI Limited's Board, at its meeting on July 14, 2025, has finalized a group consolidation plan and recommended it to the Government of India for approval. Under the plan, several IFCI group companies (StockHolding Corporation of India, IFCI Factors, IFCI Infrastructure Development, and IIDL Realtors) will be merged into TFCI Limited, which is the listed entity. IFCI Limited will continue as an NBFC focusing on lending, custodial services, e-stamping, and advisory work. In a second step, IFCI's broking and financial services subsidiaries will be merged into one entity that will become a direct subsidiary of IFCI. Some other group firms will continue as direct subsidiaries of IFCI. The Board also recommended divesting IFCI's stake in MPCON Limited to the Government of India. All these steps are subject to regulatory and statutory approvals.
If approved, this restructuring could simplify the IFCI group structure and potentially improve operational efficiency, but it is still subject to Government of India and regulatory clearances, so the final shape and timing remain uncertain for shareholders.
