IIFL Capital Services board has approved a preferential issue of 5,71,42,857 equity shares at INR 350 per share to FIH Mauritius Investments Ltd, raising approximately INR 2,000 crore. FIH Mauritius currently holds 27.18% stake and will increase to 38.47% post-allotment. The company has executed an Investment Agreement dated May 7, 2026 with the investor and existing promoters Nirmal Bhanwarlal Jain and Venkataraman Rajamani. Due to this transaction, FIH Mauritius will be required to make a mandatory open offer to public shareholders under SEBI Takeover Regulations. Upon completion, FIH Mauritius will acquire control and be classified as a 'promoter' of the company. An EGM has been scheduled for June 1, 2026 to seek shareholder approval for the preferential issue and amendments to the Articles of Association.
