Fairfax India Holdings Corporation will invest ₹2,000 crore into IIFL Capital through a preferential allotment at ₹350 per share. This ₹2,000 crore primary capital infusion will increase Fairfax India's stake from its current ~30.5% to a minimum of 51%, making it part of the Promoter Group alongside existing co-promoters Mr. Nirmal Jain and Mr. R. Venkataraman. The transaction will trigger an open offer under SEBI regulations and is subject to shareholder and regulatory approvals. Fairfax will have the right to nominate two directors to the Board.
