IIFL Capital Services (formerly IIFL Securities) filed its Annual Secretarial Compliance Report for FY25, reviewed by Nilesh Shah & Associates. The report flagged three key non-compliances during the year: (1) incorrect UCC client data uploaded on the MCX platform affecting 12,101 clients (2.95%), for which SEBI levied a Rs. 3 lakh fine which has been paid; (2) SEBI inspections for April-July 2022 uncovering lapses in client fund segregation, margin reporting, stock reconciliation, and other broking-related deficiencies, leading to a Rs. 11 lakh fine (paid) via order dated August 21, 2024; and (3) an administrative warning letter from SEBI for non-disclosure of individual issue-related expense break-ups in offer documents while acting as Book Running Lead Manager. The report also tracks older matters, including a prior Rs. 2 crore SEBI penalty and new-client onboarding ban that was set aside by SAT in December 2023, with SEBI's appeal now pending before the Supreme Court.
Most SEBI penalties mentioned have already been paid and the company has strengthened internal processes, so near-term financial impact is limited. However, the Supreme Court appeal against the SAT order remains an open legal overhang for shareholders to monitor.
