IIFL Finance has allotted Non-Convertible Debentures worth a total of ₹800 crore on a private placement basis, following approval at its Finance Committee meeting on December 30, 2025. The issuance is split into three tranches: (1) Option A-I — 30,000 subordinated, unsecured, redeemable NCDs of ₹1 lakh each, aggregating ₹300 crore, with a 7-year tenure and a 9.25% annual coupon paid monthly; (2) Option A-II — 40,000 similar NCDs aggregating ₹400 crore, with a 10-year tenure and a 9.30% annual coupon paid annually; and (3) Option B — 100 perpetual, unsecured NCDs of ₹1 crore each, aggregating ₹100 crore, with a 9.90% annual coupon and a call option exercisable after 10 years subject to RBI approval. All three tranches are proposed to be listed on the NSE.
This ₹800 crore debt raise will bolster IIFL Finance's capital base to support lending growth, with the perpetual tranche qualifying as Additional Tier 1 capital — a positive for an NBFC. There is no equity dilution, but existing shareholders do not participate in the fixed-income returns offered to debenture holders.
