IIRM Holdings India reported consolidated Q1 FY26 revenue of Rs. 6,796.49 lakhs, up 3.4% YoY from Rs. 6,572.52 lakhs, but profit after tax fell about 15.6% to Rs. 764.32 lakhs (from Rs. 906.17 lakhs). Costs rose sharply, with depreciation jumping to Rs. 447.71 lakhs (vs Rs. 287.68 lakhs) and employee expenses up, pushing PBT margin down to roughly 15.2% from 18.5% a year ago. The Scheme of Amalgamation of its profitable wholly-owned subsidiary Sampada Business Solutions Limited (which posted PBT of Rs. 943.05 lakhs in the quarter) into the parent has now received approval from the Regional Director dated July 22, 2025. The board also noted subsidiary India Insure's proposal to acquire 100% of Safe Risk Insurance Brokers Pvt Ltd in phases, subject to IRDAI and other approvals. Other items include appointment of a new Secretarial Auditor for 5 years, the 32nd AGM on September 27, 2025 via video conferencing, and an application to revoke suspension of trading on the Calcutta Stock Exchange. The statutory auditor issued an unmodified review conclusion on both standalone and consolidated results.
Near-term numbers are mixed - topline growth is modest while profits declined on cost pressure, so the stock may not get an immediate boost from results. However, the amalgamation with cash-generating Sampada and the proposed insurance broking acquisition signal strategic expansion that could support earnings and valuation over the medium term.
