CARE Ratings Limited has submitted the monitoring agency report for the quarter ended March 31, 2026, for Ind-Swift's preferential issue of fully convertible warrants worth Rs. 314.60 crore. The monitoring scope has been revised to Rs. 255.61 crore after one allottee (Saral Incorporated VCC Sub Fund 1) failed to convert 65 lakh warrants within the stipulated 18-month period (by February 28, 2026), causing a Rs. 58.99 crore shortfall. Of the raised amount, Rs. 232.02 crore (91%) has been utilized — Rs. 89.95 crore for business expansion, Rs. 27.47 crore for subsidiary investments, Rs. 39.60 crore for working capital, and Rs. 75 crore for general corporate purposes. The remaining Rs. 23.59 crore sits in fixed deposits and bank accounts. The agency flagged commingling of funds (mixing issue proceeds with operating cash flows) which limited its ability to directly verify end-use of proceeds, and noted that Rs. 3.60 crore was routed through the company's current account before reaching the subsidiary.
The lapsed warrants represent a funding gap of Rs. 58.99 crore that may affect the company's expansion plans, though the company claims sufficient internal accruals. The monitoring agency's inability to fully verify fund utilization due to commingling is a concern for investor transparency.
