Ind-Swift Laboratories Ltd has submitted its Annual Secretarial Compliance Report for FY 2025-26, reviewed by Practicing Company Secretary Vishal Arora. The report identifies two deviations: BSE levied a fine of Rs. 4,18,900 and NSE imposed a fine of Rs. 4,24,800 for delay in submitting audited financial results for FY 2024-25 within the stipulated 60-day timeline. The company explained this delay was due to a pending Scheme of Arrangement for amalgamation with Ind-Swift Limited, with the NCLT order received only on 17th July 2025. Additionally, an old penalty of Rs. 10,000 from 2022 remains contested with BSE. All other compliance areas including Secretarial Standards, Related Party Transactions, Insider Trading norms, and website disclosures were found satisfactory.
The regulatory fines totaling approximately Rs. 8.44 lakh represent minor compliance lapses. The company has provided explanation citing an ongoing merger scheme, and past penalties have been waived. No material concerns for shareholders, though history of delayed financial reporting should be monitored.
