Calleis Constructions Pvt Ltd and its Persons Acting in Concert (PACs), part of the Indiabulls promoter group led by Sameer Gehlaut, have reported a change in their collective shareholding in Indiabulls Limited. Their holding rose from 27.46% (2.75 crore shares) to 32.84% (76.33 crore shares), an increase of 5.38 percentage points. This change is not due to a fresh market purchase but is an automatic effect of a court-approved merger. On November 4, 2025, Indiabulls allotted about 222.4 crore new equity shares of face value Rs. 2 each to shareholders of Dhani Services Limited and Indiabulls Enterprises Limited under a Scheme of Arrangement approved by NCLT Chandigarh on August 29, 2025. As a result, the total share count of Indiabulls expanded sharply from about 10 crore to about 232.4 crore shares. The PACs received these new shares in exchange for their pre-existing holdings in the merging entities.
This is a technical/corporate-action-driven change in promoter percentage holding, not a fresh infusion of capital or a market buy. Retail investors should note that the promoter's effective economic interest is largely unchanged, and the merger scheme has already been approved by the Tribunal. No immediate negative or positive signal for the stock price from this disclosure alone.
