Indian Link Chain Manufacturers has filed its 67th Annual Report for FY 2024-25 with BSE. The company posted a Profit After Tax of ₹10.94 lakh, up about 20% from ₹9.11 lakh in FY24, on total income of ₹29.47 lakh (vs ₹26.16 lakh last year). No income from operations was recorded as the firm remains in a restructuring phase focused on agriculture, food processing and allied businesses. The Board did not declare any dividend. The 67th AGM is scheduled for September 29, 2025 at 11:00 AM via video conferencing. Post year-end, the company has approved a preferential issue of 25.5 lakh equity shares and 53 lakh convertible warrants at ₹71 each to non-promoters, raised authorised capital from ₹1 crore to ₹8.4 crore, and an Open Offer has been made by Mr. Rajendra Chodankar to acquire up to 7.93 lakh shares (26% of emerging capital) with Bonanza Portfolio as manager to the offer.
Existing shareholders will see significant dilution risk from the preferential issue and warrants (combined 78.5 lakh new securities vs current ~5 lakh shares), while the Open Offer provides an exit opportunity at a SEBI-determined price. Capital infusion could revive commercial operations, but the small-scale financials and ongoing restructuring suggest limited near-term earnings momentum. No dividend income for shareholders this year.
