The Board approved audited financial results for Q4 and FY ended 31 March 2025. Standalone FY25 revenue fell to Rs 2,564.57 crore from Rs 2,780.17 crore last year, but net profit rose to Rs 378.09 crore (from Rs 363.69 crore) and EPS improved to Rs 70.08 (from Rs 67.41). The Board recommended a final dividend of Rs 20 per equity share (face value Rs 10), subject to shareholder approval. Mrs Latha Ravindran was re-appointed as Independent Director for a second 5-year term, and Ms Kiran Dhingra was appointed as an additional Independent Director for 5 years. The statutory audit was conducted by Walker Chandiok & Co LLP, replacing SCV & Co. LLP who audited the prior year. Additionally, M/s Sunita Jyotirmoy & Associates was appointed as Secretarial Auditor and M/s S.S. Sonthalia & Co. as Cost Auditor for FY26. The Board also approved incorporation of a new wholly owned subsidiary, Metallix Aviation Private Limited.
Shareholders benefit from higher profitability and EPS despite weaker revenue, plus a final dividend. The auditor change appears to be a routine rotation rather than a resignation, and the new subsidiary and renewable power tie-ups (JSW Green Energy, Ampin Energy) point to ongoing capacity and energy diversification. Overall, this is a stable, business-as-usual update with no negative governance signals.
