Indian Railway Finance Corporation (IRFC) has been fined Rs 9,77,040 (inclusive of GST) each by BSE and NSE on 27th February 2026 for non-compliance with SEBI LODR Regulations 17(1), 18(1), and 19(1)/19(2) during the quarter ended 31st December 2025. These regulations relate to the composition of the Board and the constitution of the Audit Committee and Nomination & Remuneration Committee. The company stated there is no financial or operational impact from the fines. IRFC explained that as a Government of India enterprise, the appointment of Directors rests with the President of India through the Ministry of Railways, and the company has no control over this. It has requested the stock exchanges to waive the fines, noting that similar waivers were granted earlier for the March 2021 to December 2021 period.
The fine amount is negligible (under Rs 20 lakh combined) relative to IRFC's size and the company says it has no financial or operational impact.
