Indian Sucrose Limited has issued a Postal Ballot Notice to shareholders seeking approval for 10 resolutions through remote e-voting from March 19, 2026 to April 17, 2026. Eight resolutions relate to material related party transactions (RPTs) for FY 2026-27 with various group/related entities, including Highlink Investment Pvt Ltd (up to Rs 20,016 lakhs), Indian Green Revolution Pvt Ltd (up to Rs 20,600 lakhs), Dharamputra Food Industries (up to Rs 11,525 lakhs), Cosmos Industries (up to Rs 10,075 lakhs), Yadu Sugar Ltd (up to Rs 6,000 lakhs), Tiazo Trade (up to Rs 5,016 lakhs), Highway King Transportation (up to Rs 1,100 lakhs), and Yadu Resorts (up to Rs 30 lakhs), covering purchase/sale of goods, services, leasing, loans and inter-corporate deposits. Another special resolution seeks approval under Section 185 to advance loans/give guarantees not exceeding Rs 34,100 lakhs to entities where directors are interested. A separate ordinary resolution proposes continuation of Mr. Jaitender Kumar (DIN: 08164429) as a Non-Executive Non-Independent Director for another five years from April 1, 2026. The cut-off date for shareholder eligibility is March 13, 2026, and results will be announced within two working days after the e-voting concludes.
Shareholders are being asked to approve sizeable related party transactions (totalling roughly Rs 74,000+ lakhs across 8 entities) and director continuation, so retail investors should review the related parties' arm's-length nature and the company's rationale before voting. Approval is largely procedural and expected given the promoter group structure, but rejection of any resolution could restrict certain business operations with these entities in FY 2026-27.
