Indian Toners & Developers Ltd has informed BSE that its members have approved, via a Special Resolution through Postal Ballot on January 19, 2026, the alteration of the company's Memorandum of Association by inserting new Main Object Clauses. The Board had originally approved this proposal on November 10, 2025. The new clauses aim to expand the company's scope into the stationery business — including manufacturing, trading, and assembling of writing instruments (pens, pencils, notebooks, markers, etc.) — as well as into publishing of books, e-books, journals, and educational materials. This move is necessary because under the Companies Act, 2013, the earlier concept of 'Other Objects' no longer exists, so these activities must now be formally added as Main Objects.
This signals the company's intent to diversify beyond its core toner business into the stationery and publishing segments as a seed project. For shareholders, it opens up potential new revenue streams, though execution risks and capital allocation into unrelated sectors should be watched closely.
