Indian Toners & Developers has filed its 35th Annual Report along with the notice for its AGM to be held on Monday, 25th August 2025 at 2:30 PM at the registered office in Rampur, Uttar Pradesh. Key business at the AGM includes confirming the interim dividend of Rs. 4.50 per share as final dividend, re-appointment of Chairman Sushil Jain (who retires by rotation), and appointment of M/s Mukesh Agarwal & Co. as Secretarial Auditor for five years (FY 2025-26 to 2029-30) at a remuneration of Rs. 35,000 plus Rs. 10,000 for the compliance report. The company completed a buyback of 4,58,268 shares at Rs. 450 each (aggregating up to Rs. 20.62 crores), reduced paid-up equity capital to Rs. 10.39 crores, and commissioned a 1000 KWP solar plant while expanding production capacity to 5,400 MT.
Shareholders will vote on confirming the Rs. 4.50 per share dividend and director re-appointment at the August 25 AGM. The lower exports and PAT decline are negatives, but consistent 45% dividend payouts, anti-dumping duty extension for 5 years on black toner imports, and ongoing capacity expansion may provide support to sentiment.
