Indian Toners & Developers has filed the certified proceedings of its 35th AGM held on 25 August 2025 at Rampur, with 34 members present in person. All four resolutions were passed with the required majority, including adoption of FY25 annual accounts, confirmation of Rs. 4.50 per share (45%) dividend as final, re-appointment of Chairman Sushil Jain via rotation, and appointment of M/s Mukesh Agarwal & Co. as Secretarial Auditor for five years (FY26–FY30). In his speech, the Chairman highlighted that the government has extended the anti-dumping duty on imported black toner (from China, Taiwan, and Malaysia) for another 5 years, which protects the company from cheap imports. The company also added 167.60 sq. mtrs of land for Rs. 5.03 crore and commissioned a 1000 KWP solar plant at Rs. 3.23 crore, now yielding electricity cost savings.
This is mainly a procedural disclosure, but it confirms a healthy 45% dividend payout and a 5-year anti-dumping duty shield on its core product, both of which are positive for shareholders. The solar plant and ongoing diversification efforts may support margin stability going forward.
