Indian Toners & Developers Ltd has announced the results of a postal ballot conducted to seek shareholder approval for altering its Memorandum of Association to add new main object clauses. The voting was conducted via remote e-voting between December 19, 2025 and January 17, 2026, with results declared on January 19, 2026. Out of 10,391,732 total shares, 7,201,396 shares (69.30%) were polled, and an overwhelming 99.995% of votes (7,201,067) were cast in favour of the special resolution, with only 329 votes against. Promoters voted 100% in favour (7,196,638 shares), and public non-institutions polled 4,758 shares with 93.09% in favour. The scrutinizer, V. Hari & Co., has confirmed the resolution is passed with the requisite majority.
The successful postal ballot clears the way for the company to expand its permitted business activities by inserting new main object clauses into its MoA. This is a procedural corporate action with strong shareholder backing and no visible opposition, suggesting smooth execution and potential future diversification of business lines.
