Indian Toners & Developers filed the proceedings of its 35th AGM held on August 25, 2025 at Rampur, attended by 34 members in person. Shareholders approved the FY25 audited financial statements, confirmed an interim dividend of Rs. 4.50 per share (45% on face value) as the final dividend for FY24-25, and re-appointed Sh. Sushil Jain as Director retiring by rotation. M/s Mukesh Agarwal & Co. was appointed as Secretarial Auditor for five years (FY 2025-26 to 2029-30) at Rs. 35,000 in fees. The Chairman highlighted that the Government of India has extended anti-dumping duty on imported black toner from China, Taiwan and Malaysia for another 5 years (notification dated August 4, 2025), which should help the company compete against cheaper Chinese imports. The company also purchased 167.60 sq. mtrs of additional land at Unit I in Rampur for Rs. 5.03 crore and commissioned a 1000 KWP solar plant at a cost of Rs. 3.23 crore, now delivering full electricity savings.
Positive for shareholders — confirmation of a 45% dividend, extended anti-dumping duty protection boosting domestic competitiveness, and recurring cost savings from the new solar plant. Management's exploration of diversification and new projects could also create future growth avenues.
