IndiGrid Infrastructure Trust has issued a Postal Ballot Notice dated December 8, 2025, seeking unitholder approval to raise up to ₹2,000 crores through institutional placement, preferential issue, or rights issue (including the fast track route). The proceeds will be used for acquiring assets, repaying debt, funding subsidiaries for project development or capex, investing in infrastructure sector debt, and general corporate purposes. The Board had earlier approved a total of ₹2,500 crores in fund-raising capacity — ₹1,500 crores on October 10, 2025 (of which ₹438.50 crores was already allotted on a preferential basis on November 11, 2025) plus an additional ₹1,000 crores approved on December 8, 2025. Voting is via remote e-voting from December 9 to December 29, 2025, and results will be declared on or before December 30, 2025. The resolution needs a special majority (more than 60% of votes cast in favour) under SEBI InvIT Regulations.
Existing unitholders face potential dilution if units are issued, but the capital is earmarked for growth via acquisitions and debt reduction. Since InvITs must distribute 90% of net distributable cash flow, periodic fund-raising is the main route to expand the asset base and support future distribution growth.
