The board of Indo Borax & Chemicals, at its meeting on July 21, 2026, approved a Scheme of Amalgamation to merge its wholly owned subsidiary Indoborax Infrastructure Private Limited into the company. The subsidiary is engaged in real estate activities, while Indo Borax operates in chemical products (Boric Acid, Boron Oxide, etc.). Since Indo Borax holds the entire share capital of the subsidiary, no new shares will be issued — the subsidiary's shares will simply stand cancelled upon the scheme taking effect, leaving the parent company's shareholding pattern unchanged. The subsidiary is small relative to Indo Borax, with a net worth of about INR 22.4 crore versus the parent's INR 384.3 crore. The scheme is subject to NCLT Mumbai Bench approval and other regulatory clearances. Separately, the board approved shifting the registered office from Santacruz (West) to Nariman Point, within the same city.
This is a routine internal restructuring with no share issuance and no change in shareholding pattern, so it is largely neutral for existing shareholders. It may bring minor long-term benefits through cost efficiencies and simpler financial reporting, but is unlikely to materially affect the stock price.
