Indo-National Limited has received the final order from the NCLT Chennai Bench dated March 10, 2026, sanctioning the amalgamation of its wholly owned subsidiary Helios Strategic Systems Limited into itself. Since Helios is a 100% subsidiary, no share swap ratio is involved and the merger is purely a group restructuring to simplify the corporate structure. The appointed date is April 1, 2024, and the scheme will become effective once the certified order is filed with the Registrar of Companies, Chennai. The Income Tax Department flagged a pending demand of Rs. 4.30 crore against Helios for AY 2018-19, which will now be the responsibility of Indo-National. All employees of Helios will transfer to Indo-National without any break in service, and Helios will stand dissolved without winding up.
This is a routine internal restructuring with no impact on the shareholding pattern or face value of Indo-National's shares since the merging entity is entirely owned by it. Shareholders are unlikely to see any change in ownership, dividends, or stock price from this amalgamation, though Indo-National will absorb Helios's liabilities including the Rs. 4.30 crore tax demand.
