Kare Family Private Trust (KFPT), a promoter entity of Indoco Remedies, has disclosed a proposed inter-se acquisition from fellow promoter Aruna Suresh Kare. The trust will directly acquire 55,34,874 equity shares (about 6% of share capital) and indirectly pick up a 40% stake in promoter company Shanteri Investment Pvt Ltd and 20.16% in promoter group company SPA Holdings Pvt Ltd. No consideration is involved as it is an off-market family transfer aimed at succession planning and streamlining family holdings. The transaction is exempt from an open offer under SEBI Takeover Regulation 10(1)(a)(i). Post-deal, combined promoter (acquirer + PAC) holding rises from 45.27% to 51.27%, while Aruna Suresh Kare's holding drops to nil.
This is an internal reorganisation within the promoter family, so there is no change in ultimate control or any public cash outflow.
