Indus Infra Trust is seeking unitholder approval via postal ballot for two resolutions: (1) a preferential issue of up to 2,82,51,005 units to its Sponsor, Aadharshila Infratech Private Limited, at Rs. 116.81 per unit, aggregating up to Rs. 3,300 Million; and (2) a broader fund raise authorization of up to Rs. 50,000 Million through private placement, institutional placement, further public offer, rights issue, or debt instruments. The sponsor's stake will increase from 15% to ~20.1% post the preferential issue, as the current raise would dilute sponsor holding below the mandatory 15% threshold required for three years from listing (till March 2027). The NAV is Rs. 116.81 per unit based on full valuation as of 31 March 2026. E-voting opens 20 May 2026 and closes 9 June 2026, requiring a special majority (60%+ votes in favour) for passage. Proceeds will fund asset acquisitions, repay borrowings, and general corporate purposes.
Unitholders should approve both resolutions — the preferential issue ensures sponsor compliance with minimum 15% holding norms, while the Rs 5,000 crore fund raise authorization gives the Trust firepower for future acquisitions and growth, which could be positive for unit price and distributions over the long term.
