Indus Infra Trust has issued a Postal Ballot Notice to unitholders seeking approval on two key resolutions. First, to acquire three hybrid annuity highway SPVs from its related party G R Infraprojects Limited for an aggregate purchase consideration of up to Rs 9,050 million (Rs 4,500M for GEKEPL, Rs 1,300M for GUBHPL, and Rs 3,250M for GBUHPL), with an enterprise value of Rs 27,972 million as per the independent valuer. This acquisition is expected to increase the Trust's AUM by Rs 27,001 million and extend average balance life by 0.74 years. Second, to raise the aggregate consolidated borrowing limit from 49% to 70% of InvIT Assets, supported by a CARE AAA/Stable credit rating and a track record of six quarterly distributions. E-voting runs from February 12, 2026 to March 5, 2026.
If approved, the acquisition will grow the Trust's portfolio with NHAI-backed annuity assets, boosting stable cash flows, while the higher borrowing limit provides flexibility to fund future acquisitions and could increase distributable income but also raises leverage. Related-party unitholders cannot vote on the acquisition resolution, putting the outcome in the hands of independent unitholders.
