Indus Infra Trust (formerly Bharat Highways InvIT) submitted its Annual Secretarial Compliance Report for FY25 to BSE and NSE, as required under SEBI InvIT Regulations. Practicing Company Secretary Preksha Dawet reviewed the Investment Manager's (GR Highways Investment Manager Pvt Ltd) compliance with SEBI and SCRA rules. The report flagged one ongoing non-compliance: the Investment Manager does not hold Directors and Officers (D&O) insurance for its Independent Directors, which is mandatory under Regulation 26G of SEBI InvIT Regulations read with LODR norms. All three deviations flagged in the previous year's report (composition of Stakeholder Relationship Committee, maintenance of Structured Digital Database, and missed committee meetings) have since been rectified. No penalties, fines, or actions were taken by SEBI or stock exchanges against the InvIT during the review period.
Mostly a routine annual compliance filing, but the missing D&O insurance is a governance lapse that may invite regulatory scrutiny or corrective action. For unit holders, this is a minor negative signal on compliance discipline, though no financial penalty has been imposed yet.
