Indus Infra Trust has signed share purchase agreements dated 24th December 2025 to acquire 100% shareholding (including shareholder loans) in four special purpose vehicles from KNR Constructions Limited. The four SPVs — KNR Palani Infra, KNR Guruvayur Infra, KNR Ramagiri Infra, and KNR Ramanattukara Infra — collectively operate about 157 km of four-lane and six-lane highways built under the Hybrid Annuity Model (HAM) across Tamil Nadu, Kerala, and Andhra Pradesh. The combined enterprise value of the deal is approximately Rs. 3,481.57 crore (Rs. 34,815.72 million), payable in cash. The acquisition is described as yield accretive for unitholders and is expected to extend the InvIT's life by around 1.13 years. Completion remains subject to NHAI approval, lender consents, and other regulatory clearances.
This is a growth-oriented acquisition that adds operating highway assets to the InvIT's portfolio, potentially boosting distributable cash flows per unit over time. For unit holders, this is a positive development as it expands the asset base, but final value will depend on closing adjustments and timely regulatory approvals.
