Indus Infra Trust has approved the acquisition of three Hybrid Annuity Mode (HAM) highway SPVs from its sponsor G R Infraprojects Limited: GR Bilaspur Urga Highway (70.20 km in Chhattisgarh), GR Ena Kim Expressway (36.93 km in Gujarat), and GR Ujjain Badnawar Highway (69.10 km in Madhya Pradesh). Share Purchase Agreements for 100% equity were executed on 25th March 2026, with closing targeted by 30th June 2026. The total enterprise value of the three assets is up to about Rs. 2,639 crore, with cost of acquisition (including unsecured loans) of up to about Rs. 877 crore. The Trust has also approved a rupee term loan of INR 1,940 crore from HDFC Bank to refinance existing debt of these assets. G R Infraprojects holds 43.56% of Trust units, making this a related party transaction done at arm's length, with NHAI no-objection received for all three transfers.
This is a yield-accretive acquisition that should support stable distributions for unitholders and extend the InvIT's weighted average asset life by about 0.74 years. The refinancing through HDFC Bank is likely to optimize borrowing costs, though the related-party nature of the deal may draw closer investor scrutiny on pricing and governance.
