On July 30, 2025, Indus Towers' HR, Nomination and Remuneration Committee approved a performance-based grant of 6,69,562 stock options to 121 eligible employees under the Employee Stock Option Scheme 2014. Each option is convertible into one equity share of face value Rs. 10, which is also the exercise price. The options will vest over three years in tranches of 30%, 30%, and 40% at the end of years 1, 2, and 3 respectively, with the possibility of vesting scaling up to 120% of the target based on performance criteria. Employees have 7 years from the vesting date to exercise the options. The grants comply with SEBI's Share Based Employee Benefits and Sweat Equity Regulations, 2021.
This is a routine ESOP allotment that will result in a mild equity dilution when options are exercised. Since the exercise price equals face value, the grant is highly favourable to employees and signals the company's intent to retain and incentivise key talent, though it slightly increases the total share count over time.
