Info Edge (India) Limited has approved an investment of about Rs. 25 Crores in its wholly owned subsidiary, Startup Investments (Holding) Limited (SIHL), through the acquisition of 1,041,666 Compulsorily Convertible Debentures (CCDs) at Rs. 240 each (including a premium of Rs. 140 per CCD). The decision was taken by the Committee of Executive Directors on August 4, 2025, in a meeting that lasted 15 minutes. SIHL, incorporated in 2015, is engaged in direct or indirect investments in tech companies and Alternative Investment Funds (AIFs), and reported nil turnover for the last three years with a networth of negative Rs. 209.50 Crores as of March 31, 2025. The transaction is at arm's length and does not involve promoter or group company interest. SIHL will remain a wholly owned subsidiary of Info Edge after the investment, and the infusion is expected to be completed within 30 days.
This is a routine capital infusion into an existing wholly owned subsidiary used as a vehicle for startup and AIF investments, so it is unlikely to have any material impact on Info Edge's standalone financials or stock price. Shareholders should note that the investment is part of the company's ongoing strategy to deploy capital into tech investments through its subsidiary structure.
