Info Edge, through its wholly-owned subsidiary Startup Investments (Holding) Limited (SIHL), has approved transferring its entire 50.94% stake in associate company Agstack Technologies (Gramophone) to Akshamaala Solutions (Unnati). The deal value is about Rs. 91.71 crores, settled through a share swap where SIHL will receive 15.75% in Unnati in exchange. Additionally, SIHL will invest Rs. 35 crores by subscribing to fresh preference shares in Unnati, taking its total stake in Unnati to about 20.53% (diluting to 18.48% post a planned merger of Gramophone into Unnati). Gramophone contributed 2.52% of Info Edge's revenue and Rs. 66.89 crores of turnover in FY25, while Unnati reported turnover of Rs. 291.37 crores but a loss of Rs. 18.42 crores. The deal is expected to close within 90 days, subject to conditions.
For shareholders, this is largely a portfolio reshuffle — Info Edge is exiting a small associate (Gramophone) and consolidating its position into a larger agri-fintech platform (Unnati). The net cash outflow is Rs. 35 crores, which is modest relative to Info Edge's size, and Gramophone's revenue contribution is small, so material impact on consolidated earnings is unlikely.
