Info Edge, through its wholly-owned subsidiary Startup Investments (Holding) Limited (SIHL), has agreed to transfer its entire ~50.94% stake in agri-tech firm Agstack Technologies (Gramophone) to Akshamaala Solutions (Unnati), a larger agri-fintech platform. In exchange, SIHL will receive 15.75% stake in Unnati (on fully diluted basis) plus invest an additional Rs 35 crore as primary infusion for a further ~5.67% stake, taking total holding in Unnati to ~20.53% (diluting to 18.48% after Gramophone merges into Unnati). The Gramophone stake is being transferred for about Rs 91.7 crore, implying a valuation swap. Gramophone contributed only 2.52% of Info Edge's FY25 standalone turnover (Rs 66.89 crores), while Unnati posted Rs 291.37 crores in FY25 turnover. The deal is expected to close within 90 days, subject to conditions precedent.
