Inox Wind Limited has submitted its Annual Secretarial Compliance Report for FY 2025-26. The secretarial auditor identified three instances of non-compliance with SEBI regulations. First, the company failed to appoint an Independent Woman Director on its Board between October 21, 2024 and April 5, 2025, resulting in fines of Rs. 5,31,000 each from NSE and BSE for the period ending March 31, 2025, and additional fines of Rs. 29,500 each for April 1-5, 2025. The company subsequently appointed the required director w.e.f. April 6, 2025 and paid the fines. Second, Ms. Urvashi Saxena was appointed as Independent Director without prior shareholder approval under Regulation 17(1A), which requires approval for directors attaining 75 years of age, resulting in fines of Rs. 1,27,440 each from NSE and BSE. The company later obtained shareholder approval through postal ballot and paid the fines. The company has now achieved full compliance with all regulatory requirements.
The company has cleared all non-compliance issues and paid fines totalling approximately Rs. 11.87 lakh across three regulatory breaches, primarily relating to board composition and director appointment procedures. While the violations were technical in nature and have been rectified, they indicate gaps in corporate governance compliance monitoring.
