Intellect Design Arena conducted a postal ballot via remote e-voting from February 11 to March 12, 2026, on two special resolutions, both of which were passed by shareholders. Resolution 1 approved the appointment of Mr D. Shivakumar as an Independent Director for a 5-year term starting January 30, 2026, with overwhelming support of 99.96% in favour (7.93 crore shares for, only 34,976 against). Resolution 2 approved the re-appointment of Mr Anil Kumar Verma as Whole-time Director for 5 years from February 1, 2026, with 82.24% in favour and 17.76% dissent (1.41 crore shares against). Out of 1,16,832 shareholders on the cut-off date, about 56.94% of outstanding shares (roughly 7.93 crore) were polled. Promoters voted 100% in favour of both resolutions.
Both resolutions passed, so the board appointments stand approved. However, retail investors should note the meaningful 17.76% dissent on Mr Verma's re-appointment, with public institutional investors nearly evenly split (47.52% for, 52.48% against), which is a signal worth watching. The dissent is large enough to draw attention in future AGM discussions but unlikely to move the stock materially on its own.
