Intelligent Supply Chain Infrastructure Trust (an InvIT sponsored by Reliance Retail Ventures, listed on BSE under ISCITRUST) has sent out the notice for its 2nd Annual General Meeting to be held on July 28, 2025 at 5:30 p.m. via video conferencing, along with the Annual Report for FY2024-25. Four items are up for unitholder approval: adoption of audited standalone and consolidated financial statements for FY25, adoption of the valuation report by BDO Valuation Advisory LLP, granting of borrowing authority (capped at 70% of InvIT Assets while maintaining AAA rating) to fund acquisitions/development, and amendment of the Distribution Policy from monthly to quarterly payouts. On a consolidated basis, the Trust reported total income of ₹1,357.70 crore versus ₹622.00 crore in the prior period, but posted a loss before tax of ₹96.61 crore versus a profit of ₹7.45 crore earlier, driven by depreciation of ₹580.77 crore, finance costs of ₹332.16 crore, and asset write-offs from warehouse relocations. The portfolio stands at about 13.20 million sq ft of operational warehouses, with current borrowings at roughly 45.5% of InvIT Asset value.
Unitholders will vote on shifting from monthly to quarterly distributions, which may change cash-flow timing for income-focused investors, while a higher 70% borrowing cap could signal future expansion or refinancing plans. The FY25 loss (largely non-cash depreciation) is unlikely to hit distributions materially but is worth watching against the AAA-rated leverage ceiling.
