Interise Trust announced the results of a postal ballot (e-voting) concluded on December 11, 2025, for unitholders' approval. The single resolution sought consent to amend the concession agreements with the National Highway Authority of India (NHAI) by executing supplementary agreements across 13 project SPVs, covering toll road assets such as Bijapur-Hungund, Beawar Pali Pindwara, Hyderabad-Yadgiri, Rayalseema Expressway, Simhapuri Expressway, and others. Out of 47 unitholders as on the November 15, 2025 cut-off date, valid votes were cast by 5 unitholders representing 99,65,98,841 units (about 95.60% of outstanding units). The resolution was passed with 100% votes in favour and zero votes against, comfortably exceeding the 60% majority threshold required under the Trust Deed and SEBI InvIT Regulations.
Unitholders have unanimously backed the NHAI concession amendments, clearing the way for the trust to formalise supplementary agreements across its highway SPV portfolio with no governance friction. This is a procedural positive that supports continuity of toll road operations but does not, by itself, signal any change in cash flows or distribution outlook.
