Intimation of re- appointment of Directors and Appointment of Secretarial Auditors in 40th Annual General Meeting held on 26th September 2025.

Shareholders at Sharp India's 40th AGM on September 26, 2025 approved three resolutions. Mr. Naoki Hatayama, a Sharp Corporation Japan executive with 20 years of experience and former MD of Sharp India (April 2019 to November 2020), was appointed as Non-Executive Non-Independent Director after retiring by rotation. Mr. Abhijeet Bhagwat, a Fellow Chartered Accountant and Managing Partner of P G Bhagwat LLP with about 15 years of audit experience, was re-appointed as Non-Executive Independent Director for a second 5-year term running from October 2, 2025 to October 1, 2030. M/s. SVD & Associates, a Pune-based firm of Company Secretaries with around three decades of experience, was appointed as Secretarial Auditor for a 5-year term until the conclusion of the 45th AGM in 2030. Both directors were confirmed to not be debarred by SEBI or any other authority.
