The 65th Annual General Meeting (AGM) of Hindusthan Urban Infrastructure Limited was held on Tuesday, 30th September, 2025 via two-way video conferencing from 11:00 A.M. to 11:15 A.M. All four ordinary resolutions were passed with requisite majority, with 100% of votes polled cast in favour of each resolution. The resolutions covered: (1) adoption of audited financial statements (standalone and consolidated) for FY ended 31st March, 2025; (2) re-appointment of Mr. Raghavendra Anant Mody, who retires by rotation; (3) appointment of M/s. Manish K & Associates as Secretarial Auditors for a 5-year term from FY 2025-26 to FY 2029-30; and (4) ratification of Cost Auditor's remuneration for FY 2025-26. Out of 14,42,885 total shares, 10,83,046 votes (about 75%) were polled, with the promoter group voting all 10,82,152 shares held in favour and public non-institutions casting 894 votes in favour. Chairman Mr. Raghavendra Anant Mody was absent, so Managing Director Mr. Deepak Kejriwal presided over the meeting; the Statutory Auditor and Secretarial Auditor reports had no qualifications or adverse remarks, and no queries were raised by members.
This is a routine AGM filing with all resolutions passing unanimously, so it carries no material impact on the share price or shareholder value. The appointment of a new secretarial auditor for a five-year term and ratification of cost auditor pay are standard governance items.
