The Composite Scheme of Arrangement involving Gujarat State Petronet Limited (GSPL) and other group companies has become effective on 1st May 2026. Under the scheme, GSPL along with Gujarat State Petroleum Corporation Limited and GSPC Energy Limited have been dissolved and amalgamated into Gujarat Gas Limited. Additionally, the Gas Transmission Business Undertaking of GSPL has been demerged into a new entity called GSPL Transmission Limited. The companies filed the certified copy of the MCA order with the Registrar of Companies on 1st May 2026, marking the formal completion of this restructuring exercise.
GSPL as a listed entity will cease to exist following this amalgamation with Gujarat Gas Limited. Shareholders of GSPL will receive shares in Gujarat Gas Limited as per the approved swap ratio. This restructuring consolidates the Gujarat State petroleum and gas businesses under unified entities.
