The Composite Scheme of Arrangement involving Gujarat State Petronet Limited (GSPL) and four other group companies has become effective on 1 May 2026. Under the scheme, GSPC, GSPL, and GSPC Energy Limited (Transferor Companies) have been amalgamated into Gujarat Gas Limited. Separately, the Gas Transmission Business Undertaking has been demerged from GSPL and transferred to a new resulting company called GSPL Transmission Limited. Certified copies of the MCA order were filed with the Registrar of Companies in e-Form INC-28 today.
GSPL shareholders will receive shares in GSPL Transmission Limited (the resulting company) as part of the demerger. GSPL's gas transmission business now operates as a separate listed entity.
