IRB InvIT Fund has issued a corrigendum to its October 8, 2025 EGM notice, updating the post-issue unitholding pattern after an institutional placement of 54.14 crore units worth ₹3,248.43 crore that was completed on October 15, 2025. Assuming full subscription of the preferential issue, total units outstanding will rise to 128.16 crore. The sponsor group (including IRB Infrastructure Developers Limited) will collectively hold 17.73% post-issue, with IRB Infrastructure Developers alone at 16.57% (up from 15.97% pre-preferential). Larsen and Toubro Limited, as another proposed allottee, will move from 0.06% to 3.15%, while other public unitholders will hold 79.12%. The EGM remains scheduled for November 1, 2025 via video conferencing.
The corrigendum clarifies the revised ownership structure following the large ₹3,248 crore fundraising. Sponsor and strategic investor (L&T) holdings are rising, which may be viewed as a sign of confidence, though existing public unitholders face meaningful dilution from the new unit issuance.
