Shareholders approved two resolutions via postal ballot (e-voting from June 14 to July 13, 2026, among 2,883 shareholders on record). Resolution 1 was ordinary, to increase authorized share capital and alter Clause V of the Memorandum of Association, and passed unanimously with all 1,11,46,105 votes polled in favor and none against. Resolution 2 was special, to close wholly owned subsidiary EMDI (Overseas) FZ LLC, and passed with 99.9999 percent in favor and only 10 votes against. Promoters polled 100 percent of their 1,10,92,941 shares in favor of both.
Capital hike creates room for future fundraising. Closing overseas subsidiary may streamline costs. Strong shareholder backing on both items.
