IST Limited conducted a postal ballot (e-voting from Feb 21 to Mar 22, 2026) on two ordinary resolutions to approve an increase in remuneration for Mrs. Shweta Gupta and Mrs. Priyankka Gupta, who hold office or place of profit in Gurgaon Infospace Limited, the company's wholly owned subsidiary. Both resolutions were promoters are interested parties and their votes (8,155,104 shares from 5 members) were declared invalid by the scrutinizer. Among valid votes, public non-institutions turned out with 1,190,786 shares (10.21% of total outstanding shares of 11,664,112), of which 1,184,579 shares (99.48%) voted in favour and 6,207 shares (0.52%) voted against. Both resolutions were passed with the requisite majority, and the scrutinizer's report was issued on March 23, 2026 by Mr. Vinod Kumar Aneja of M/s Vinod Kumar & Co.
Minor governance event - higher remuneration for related parties at the subsidiary is now formally approved, which will increase outflows from the wholly owned subsidiary Gurgaon Infospace Ltd. Low public voting turnout (10.2%) means the resolutions were passed largely on a small base of public non-institutional votes, and promoter votes were excluded as they were related parties.
